Terms of Use

1. Agreement

These Terms of Use (“Terms”) are a contract between you and Valmeme LLC (“Valmeme,” “we,” “us,” or “our”) for DiamondX-branded services: the marketing site, the trading frontend at trade.diamondx.exchange, DXFI at dxfi.diamondx.exchange, and DX Stream at stream.diamondx.exchange (the “Services”).

By accessing or using the Services, you agree to these Terms, the Privacy Policy, and the Risk Disclosure. If you do not agree, do not use the Services.

2. What the Services are

DiamondX is a non-custodial frontend. Perpetual trading is executed and settled through Orderly Network. We do not hold your funds or private keys. We are not a broker, bank, exchange operator of the underlying matching engine, or investment adviser.

• Trade: a user interface to Orderly perpetual markets from a wallet you control
• DXFI: optional paid automation that can place, manage, and close orders on your Orderly account after you connect and activate it
• DX Stream: educational and community video content; not investment advice
• $VAL: a token used in parts of the ecosystem. It is not a deposit, share, or promise of profit

The Services depend on third parties. An Orderly, wallet, payment, or hosting outage can stop trading or membership features. We are not responsible for those third-party systems.

3. Eligibility

You must be at least 18 and have capacity to contract. You may not use the Services if you are located in, organized in, or a resident of a jurisdiction where using a decentralized exchange, perpetual contracts, or these Services is unlawful, or if you are a sanctioned person. We may restrict access to comply with law. You are responsible for following the laws that apply to you.

4. Your wallet and keys

You keep custody. You are solely responsible for your wallet, seed phrase, device, and any API or trading credentials you generate. We cannot recover lost keys, reverse confirmed chain or exchange settlements, or undo a trade you (or DXFI acting for you) authorized. Sending assets to the wrong address is permanent.

5. DXFI membership and automation

DXFI is optional. If you buy a membership and activate the bot, you authorize Valmeme to place, amend, cancel, and manage orders and related risk orders on the Orderly account you connect, using the credentials you generate. You can deactivate the bot. Deactivation does not automatically close open positions or cancel resting orders; you must check the exchange.

Memberships are billed through Whop (card) or MoonPay (crypto / $VAL), as offered at checkout. Fees, refunds, and chargebacks for those payments are also governed by those providers. Premium may require holding a stated amount of $VAL before signals are processed; the live product screen controls.

Signals may come from Discord or other sources we enable. Signals can be late, wrong, duplicated, or skipped. Automation can fail, leave leftover orders, or miss a stop. Past results, including “no liquidations so far,” are not a promise. See the Risk Disclosure.

6. Fees

Trading fees are those shown on the Platform or by Orderly at the time of the trade. Membership prices are those shown at checkout. We may change displayed fees or membership rates. We do not promise that any share of fees will be used to buy or burn $VAL, fund staking, or pay you. Any such program, if offered, will be described where it is offered and may change or never launch.

Blockchain network fees and payment-processor fees are extra and are not refundable by us.

7. Acceptable use

You agree not to:

• Use the Services for fraud, sanctions evasion, money laundering, or other unlawful activity
• Attack, scrape in an abusive way, or disrupt the Services
• Manipulate markets, wash trade, or abuse referrals
• Use unauthorized automation against the Services (DXFI is the authorized automation product)
• Misrepresent your identity or age

We may suspend or terminate access if we believe you breached these Terms or the law.

8. No advice

Nothing on the Services is investment, legal, tax, or trading advice. DX Stream, Discord, and any signals are educational or operational, not recommendations. You make your own decisions. Consult your own advisers.

9. Intellectual property

DiamondX names, logos, and site content are owned by Valmeme LLC or its licensors. You may not copy them for commercial use without written permission. You keep rights in content you lawfully post; you grant us a license to host and display it as needed to operate the Services.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, VALMEME DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant uninterrupted access, error-free automation, or that any order will fill at a displayed price.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VALMEME AND ITS OFFICERS, MEMBERS, AND CONTRACTORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, OR LOST DIGITAL ASSETS, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE MEMBERSHIP FEES YOU PAID US IN THE THREE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS. Some jurisdictions do not allow certain limits; those limits apply only to the extent allowed.

12. Indemnity

You will indemnify Valmeme LLC and its people against claims, losses, and reasonable legal fees arising from your use of the Services, your wallet or credentials, your violation of these Terms, or your violation of law.

13. Changes and termination

We may change these Terms by posting a new Last Updated date on this page. Material changes will remain posted here. Continued use after a change is acceptance. We may stop offering any part of the Services at any time. You may stop using the Services at any time; on-chain and exchange records remain.

14. Governing law and venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Palm Beach County, Florida, and you consent to personal jurisdiction there. If a court finds a part of these Terms unenforceable, the rest still applies.
