1. Introduction

Welcome to DiamondX, a decentralized exchange platform operated by VALMEME ("we," "us," or "our"). By accessing or using DiamondX (the "Platform"), you agree to be bound by these Terms and Conditions ("Terms"). Please read them carefully before using the Platform.

DiamondX is a non-custodial, decentralized exchange (DEX). It allows users to trade perpetual contracts, swap tokens, and interact directly with smart contracts on supported blockchains without intermediaries, custodians, or centralized control.

If you do not agree to these Terms, do not use the Platform.

2. Nature of the Platform

2.1 Platform Services

DiamondX provides:

• Trading Platform: Non-custodial perpetual trading via Orderly Network infrastructure
• DX Stream: Educational content platform for trading education, live sessions, and market analysis
• $VAL Token: Meme token with utility in our platform, but its primary function is meme, art, and fun. Buyback mechanism powered by platform fees.

2.2 Decentralized Exchange

DiamondX operates as a fully decentralized exchange:

• VALMEME does not hold, store, or control user funds or keys
• All transactions are executed directly between self-custodied wallets via smart contracts
• VALMEME does not act as a broker, counterparty, or financial intermediary
• The Platform operates autonomously via open-source blockchain code

2.3 DX Stream Educational Platform

DX Stream provides educational content including:

• Live trading sessions and market analysis
• Trading tutorials and educational materials
• Community discussions and forums
• On-demand video content

3. Eligibility

You must:

• Be at least 18 years old, or the age of majority in your jurisdiction
• Have full legal capacity to enter into these Terms
• Not be located in, or a citizen of, any jurisdiction where decentralized exchanges are restricted or illegal
• Use the Platform only in compliance with all applicable laws and regulations

VALMEME reserves the right to restrict access to the Platform where necessary to comply with applicable laws.

4. User Responsibility and Risk Disclosure

4.1 Wallet Ownership

You are solely responsible for your wallet security, private keys, and seed phrases. VALMEME cannot recover lost keys or access credentials.

4.2 Irreversibility of Transactions

Once a transaction is confirmed on-chain, it is permanent and irreversible. VALMEME cannot cancel, reverse, or modify any blockchain transaction.

4.3 Financial and Market Risk

You understand and accept that:

• Digital assets are highly volatile; their prices can fluctuate rapidly and unpredictably
• You may lose part or all of your funds
• VALMEME does not guarantee profits or performance
• You are fully responsible for evaluating risks and making your own financial decisions
• All trading and investment activities are performed at your own risk

4.4 Perpetual Trading Risks

Perpetual trading involves additional risks:

• Leverage Risk: Leverage amplifies both gains and losses. Small price movements can result in large losses
• Liquidation Risk: Positions may be liquidated if margin requirements are not met, resulting in total loss
• Funding Rates: Periodic funding fees can impact position profitability
• Margin Calls: You may be required to add additional margin to maintain positions
• Market Volatility: Extreme price movements can result in significant losses
• Slippage: Orders may execute at prices different from expected

5. Platform Fees and $VAL Meme Token Buybacks

About $VAL: $VAL is a meme token with utility in our platform, but its primary function is meme, art, and fun. While $VAL has utility features within the DiamondX ecosystem, it should be understood that its core purpose is entertainment, community engagement, and artistic expression.

The Platform charges trading fees for transactions:

• Maker fee: 0.055%
• Taker fee: 0.015%

100% of platform revenue is allocated to $VAL meme token buybacks and user distribution mechanisms.

Fees are automatically processed by smart contracts and are non-refundable.

6. Non-Custodial Nature

DiamondX never takes custody of user funds. Your digital assets remain under your exclusive control at all times. All actions (trades, swaps, staking) are executed directly through your connected wallet. VALMEME cannot recover funds sent to the wrong address or resulting from user error.

7. User Conduct

Users agree not to:

• Use the Platform for illegal activities including fraud, money laundering, or terrorism financing
• Exploit or attempt to manipulate smart contracts or APIs
• Use automated systems or bots to disrupt the Platform
• Engage in market manipulation, wash trading, or malicious behavior

Violation of these Terms may result in access restriction or permanent suspension.

8. No Financial, Legal, or Tax Advice

All information on the Platform is provided for educational purposes only. Nothing constitutes investment, financial, or tax advice. VALMEME and DiamondX do not make recommendations regarding buying, selling, or holding any digital asset.

You are encouraged to consult professional financial and legal advisors before making any investment or trading decisions.

9. Smart Contract and Technical Risks

The Platform is governed by open-source smart contracts. You acknowledge that:

• Smart contracts may contain bugs or vulnerabilities
• Blockchain networks may experience delays, congestion, or failures
• Gas fees and transaction costs may fluctuate or increase unexpectedly
• Network or node outages may temporarily disrupt Platform availability

VALMEME assumes no liability for losses due to technical issues, smart contract errors, or blockchain instability.

10. Third-Party Integrations

DiamondX integrates with:

• Orderly Network: Trading infrastructure and settlement provider. Trading services depend on Orderly Network infrastructure. Platform is not responsible for Orderly Network outages, failures, or issues.
• External Wallets: Phantom, MetaMask, Solflare, and other wallet providers
• Analytics Tools: Third-party analytics and data providers
• RPC Providers: Blockchain data access and transaction processing

VALMEME does not control these services and is not responsible for downtime, data breaches, or issues caused by third-party platforms. Use of third-party tools is at your own discretion and risk.

11. Intellectual Property

All trademarks, designs, graphics, and brand assets of DiamondX are owned by VALMEME or licensed to it. You may not reproduce, distribute, or use them without prior written consent.

12. Indemnification

You agree to indemnify and hold harmless VALMEME, its affiliates, developers, partners, and contributors against any claims, damages, losses, or liabilities arising out of:

• Your use of the Platform
• Your violation of these Terms
• Your breach of any applicable laws

13. Limitation of Liability

To the fullest extent permitted by law:

• VALMEME and its affiliates shall not be liable for any direct, indirect, incidental, consequential, or punitive damages, including loss of funds, profits, or data
• VALMEME makes no guarantees regarding uptime, accuracy, or performance of the Platform
• You use DiamondX entirely at your own risk

14. Termination

VALMEME reserves the right to suspend, restrict, or terminate Platform access at its discretion if it detects misuse, fraud, or violations of these Terms.

15. Amendments

VALMEME may modify or update these Terms at any time. Changes will be posted with a revised "Last Updated" date. Continued use of the Platform constitutes acceptance of the revised Terms.

16. Governing Law

These Terms are governed by and construed in accordance with applicable laws. Disputes shall be resolved by binding arbitration, unless otherwise required by applicable law.
